Red Blu Digital Advertising UG creates technologies and services that allow Users to win products and services made available by Companies for advertising purposes for free. These Conditions (the "Agreement") govern the use of the B2B platform ADPRODEX (dedicated to Companies) and the B2C mobile App Tyche App (dedicated to Users). The Products in question are provided to the user by Red Blu Digital Advertising UG.

LEGAL CLARIFICATIONS:

Red Blu Digital Advertising UG has its registered office in Germany. In order to provide a service to Companies and consumers that is respectful and collaborative of current regulations, we clarify that no ministerial fulfillments are required in compliance with Italian regulations for prize events. Our project takes place exclusively ONLINE, and follows the regulations in force in the state where the promoting Company resides, namely Germany (Country of Origin Principle for EU online services). The Italian State will supervise solely for the purpose of protecting consumer interests.

1. The Service: ADPRODEX and Tyche App

The service is composed of two interconnected platforms:

  • ADPRODEX: The backend platform dedicated to Companies, from which they can manage their advertising campaigns, purchase click packages, manage Deposits, and monitor results in real-time.
  • Tyche App: The mobile application dedicated to End Users, where the "Cards" (products/services) of the Companies are displayed and where Users can play to win them.

By registering or using the ADPRODEX advertising platform, the Company fully accepts the terms and conditions of this Agreement.

2. Payments and Billing

Advertising services on ADPRODEX operate exclusively with a prepaid pay-as-you-go model (Pay-Per-Click):

  • No Subscription: There are no fixed costs, recurring subscriptions, or automatic charges.
  • Pay-as-you-go purchase: The Company decides autonomously if and how many clicks to purchase to promote its Cards.
  • Zero storage of sensitive data: We do not store credit card data for future charges.
  • Real-time monitoring: Consumption (clicks received) is deducted in real-time from the recharged budget, always visible and monitorable in one's backoffice.
  • Billing: The invoice is generated and sent via email to the Company concurrently with each purchase made. Currently, there is no invoice archive in the backoffice.

3. Services Included for Free (Artificial Intelligence and Multi-Country)

Red Blu Digital Advertising UG offers Companies, at no additional cost, the following services integrated into ADPRODEX:

  • Free Geographic Expansion: The publication of Cards in one or more supported Countries does not entail surcharges or ancillary costs.
  • Integrated A.I. Support: Advanced Artificial Intelligence tools available in the backoffice for evaluating campaign results, predictive estimates, and automatic translation of Cards into all supported languages.

4. Guarantee System (Deposit) and Win Validation

To guarantee Tyche App Users the effective provision of the won products/services, the system includes an innovative mechanism for consumer protection, called "Deposit":

  1. Deposit Payment: To be able to publish a Card on Tyche App, the Company must have a positive "Deposit" balance on ADPRODEX. It is not required to pay the value of the entire prize pool offered (e.g., for 10 dinners at €100, €1,000 is not needed), but an amount sufficient to cover a limited number of simultaneous wins (e.g., €200 or €300).
  2. Publication Condition: If the available Deposit balance drops to €0, the publication of the Company's Cards will be interrupted until the balance becomes positive again.
  3. Freezing upon Win: When a User wins a product, the system temporarily "freezes" an exact amount equal to the declared commercial value of that product (e.g., €100) from the Company's Deposit balance. As long as the remaining Deposit balance (net of frozen amounts) remains positive, the remaining Cards continue to be published regularly.
  4. Collection and Validation (Within 10 Days): The User has a maximum period of 10 days to physically go to the Company (or use the online service) and collect the prize. At the time of collection, the User must show their device to the Company, witnessing the official win screen.
  5. Company PIN Entry: To validate the win, the Company must type a security PIN (created and set by the Company itself when creating the Card) directly on the User's device.
  6. Deposit Unlocking: The correct entry of the PIN validates the successful payment/delivery of the prize and immediately unlocks the frozen amount, reintegrating it into the total availability of the Company Deposit balance.
  7. Withdrawability: The available Deposit balance (excluding amounts momentarily frozen for winnings being collected) is always withdrawable and collectable by the Company at any time.

5. Company Obligations and Account

5.1 Service Eligibility

The Services may not be used by persons under the age of 18. The Company guarantees the complete truthfulness of the information provided during registration on ADPRODEX. The creation of an account with false information represents a serious violation of our terms.

5.2 Account Security

The Company will keep its login credentials secret (Username and Password). It is personally responsible for any activity performed through its account.

5.3 Sharing and Publication

The information, Company Logos, Videospots, and Cards published on ADPRODEX will be publicly visible to Users on Tyche App. The Company grants Red Blu Digital Advertising UG the right to display such materials for promotional purposes on the platform, guaranteeing that it owns all intellectual property rights to them and relieving us from disputes with third parties for copyright infringement.

6. Limitation of Liability

Red Blu Digital Advertising UG and its affiliates assume no responsibility nor do they guarantee that the services will be available without interruptions or completely error-free. To the extent permitted by law (and unless Red Blu Digital Advertising UG has signed another written agreement that prevails over this Agreement), Red Blu Digital Advertising UG and its affiliates will not be liable for indirect damages, loss of profits, reputational damages, or data losses (e.g., momentary unavailability of the service). The maximum liability for any direct damages is strictly limited to the total amount paid by the Company for the purchase of services (clicks) during the last 12 months, or to a maximum of EUR 1,000 (one thousand/00).

7. Termination

Both parties have the right to terminate this Agreement at any time. The Company can request the deletion of its ADPRODEX account. In the event of termination, the Company loses the right to access the services and its Cards will be promptly removed from Tyche App. Any funds present in the Deposit balance, net of amounts frozen for legitimately claimed and not yet expired winnings, will be fully refunded to the Company. Some provisions, including Limitation of Liability and Jurisdiction, will remain in effect even after termination.

8. Applicable Law and Jurisdiction

This Agreement is governed exclusively by the laws of the Federal Republic of Germany. For any legal dispute between the Company (or the User) and Red Blu Digital Advertising UG, the parties agree to submit to the exclusive jurisdiction and competence of the territorial court of Krefeld (Court of Krefeld), Germany, subject to mandatory rules for the protection of consumers applicable in the End User's country of residence.

9. Prohibited Activities

In order to protect the community, the Company strictly agrees not to:

  • Create a false identity on ADPRODEX or impersonate other companies or brands without authorization;
  • Use scraping software, bots, crawlers, or automated processes to manipulate, overload, or extract data from ADPRODEX or Tyche App;
  • Insert content prohibited by law, deceptive, fraudulent, or containing malware/viruses within Videospots or Cards;
  • Deny the prize: Unjustifiably refuse to deliver the prize to a winning User who shows up within the 10 days provided with the regular confirmation of winning on the Tyche App;
  • Disable security features or circumvent Service limitations.

10. Complaints and Contacts

We respect the intellectual property rights of others and expect the same from our subscribers. We ask that the information communicated and published be accurate. For general requests, technical reports, or support on the backoffice, the Company can contact us using the Support form made available on ADPRODEX with the subject: "Assistance Request", or by directly writing an email to info@redblu.net.
